Supamodel Terms of Service

Effective date: March 25, 2026

These Terms of Service ("Terms") form a legal agreement between Ajith R, doing business as Yesss Design ("Supamodel," "we," "us," or "our") and the merchant or other legal entity that installs, accesses, or uses the Supamodel Shopify app or related services ("Merchant," "you," or "your").

By installing or using Supamodel, you agree to these Terms. If you accept these Terms on behalf of an entity, you represent that you have authority to bind that entity.

1. The Service

Supamodel is a Shopify app that helps merchants create, manage, and use AI-assisted creative workflows, prompts, generated images, uploaded media, and product-media publishing workflows for Shopify stores.

Features may include:

  • workflow and preset creation,
  • image generation and image editing,
  • asset storage and management,
  • product image selection,
  • push of generated media to Shopify product records,
  • subscription plans, usage credits, and one-time credit purchases.

We may add, remove, or modify features from time to time.

2. Eligibility and Merchant Account

You may use the Services only if:

  • you are at least 18 years old,
  • you have legal capacity to enter into these Terms,
  • you are the Shopify store owner or are authorized to act on behalf of the Shopify merchant using the Services.

You are responsible for:

  • all activity under your account,
  • keeping login credentials and connected Shopify access secure,
  • making sure users you authorize comply with these Terms.

3. Relationship to Shopify

Supamodel is offered through Shopify, but Shopify is not a party to these Terms.

  • Your Shopify account, store, and Shopify billing relationship remain governed by Shopify's own terms and policies.
  • Supamodel may rely on Shopify APIs, webhooks, scopes, and billing tooling to provide the Services.
  • If your Shopify account is suspended, removed, or restricted, our ability to provide the Services may also be suspended or terminated.

4. Access Scopes and Permissions

Supamodel currently relies on Shopify scopes that allow it to read and write certain product data. By installing and using the app, you authorize us to access and use the Shopify data necessary to provide the Services, subject to your configuration and the scopes you grant.

5. Subscription Plans, Credits, and Billing

Billing model

Supamodel may offer:

  • recurring subscription plans,
  • usage credits included with a plan,
  • one-time credit purchases or add-ons,
  • free trials, beta access, or promotional credits.

Fees, included credits, and pricing terms will be shown in the Shopify App Store listing, inside the app, or in another applicable ordering flow.

Shopify billing

Where applicable, subscription charges and one-time purchases are billed through Shopify's billing platform. By approving a charge, you authorize the applicable billing flow through Shopify.

Non-refundable fees

Except as required by applicable law or expressly stated otherwise, fees are non-refundable.

Credits

Credits may be consumed when you run workflows, generate assets, or use other metered functionality. Included credits, top-up credits, resets, expirations, or rollover treatment will be governed by the plan details presented to you at the time of purchase or in-product notice.

Taxes

You are responsible for applicable taxes, duties, levies, or similar charges, excluding taxes based on our net income.

6. Merchant Content and Responsibilities

Your content

You retain ownership of:

  • prompts,
  • uploaded files,
  • workflow configurations you create,
  • product content you submit or direct us to process,
  • generated outputs, to the extent ownership can legally vest in you under applicable law and the rights of third parties.

Rights you grant to Supamodel

You grant Supamodel a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, transform, and otherwise process your content solely as necessary to:

  • provide the Services,
  • generate outputs you request,
  • store and retrieve assets,
  • push selected media into your Shopify store,
  • maintain security, logs, backups, and abuse prevention,
  • comply with law,
  • provide support,
  • create aggregated or deidentified analytics that do not identify you or your customers.

We do not claim ownership of your content.

Your responsibilities

You are solely responsible for:

  • the legality, accuracy, and appropriateness of your content,
  • having all rights, licenses, notices, waivers, and consents required for your content and your use of the Services,
  • any product claims, marketing claims, endorsements, or public-facing use of generated outputs,
  • obtaining any rights needed for product photos, model likenesses, personal data, testimonials, or other protected content,
  • reviewing outputs before publishing or using them commercially.

You must not submit content that:

  • infringes intellectual property, privacy, publicity, or other rights,
  • is defamatory, deceptive, fraudulent, unlawful, or harmful,
  • contains malware or attempts to disrupt the Services,
  • is used to violate platform rules or applicable law.

7. AI and Generated Output Terms

Supamodel may use third-party AI or model providers to generate or transform outputs.

You acknowledge that:

  • AI-generated outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for your intended use,
  • outputs may resemble content provided to other users or content available elsewhere,
  • Supamodel does not guarantee that outputs are non-infringing, commercially safe, or fit for any legal, advertising, or brand purpose,
  • you are responsible for human review and final approval before any publication, distribution, ad use, or catalog use.

Unless expressly stated in a separate written agreement, Supamodel does not promise exclusivity in outputs.

8. Acceptable Use

You will not:

  • reverse engineer, scrape, or attempt to access the source code of the Services,
  • use the Services to build or train a competing service from Supamodel outputs or interfaces except to the extent prohibited by law,
  • interfere with the security, integrity, or performance of the Services,
  • circumvent usage limits, billing controls, or credit controls,
  • use the Services in a way that violates Shopify rules, third-party provider rules, or applicable law.

We may suspend or restrict access if we reasonably believe your use violates these Terms or creates security, legal, or operational risk.

9. Data Protection and Privacy

Our collection and use of information is described in the Supamodel Privacy Policy available at https://supamodel.app/legal/privacy-policy.

In general:

  • Supamodel acts as a controller for its own business operations data,
  • Supamodel acts as a processor or service provider for merchant data processed on the merchant's behalf through the app.

If Supamodel makes a standalone Data Processing Addendum available and the parties enter into it, that DPA will govern qualifying processor activities.

10. Confidentiality

We will use reasonable care to protect non-public merchant content and business information submitted through the Services, subject to these Terms, our Privacy Policy, required disclosures, subprocessors used to operate the Services, and the technical realities of cloud-based systems.

This section does not apply to information that:

  • is or becomes public through no breach of these Terms,
  • was already known without confidentiality obligation,
  • is independently developed without use of the confidential information,
  • must be disclosed by law or valid legal process.

11. Intellectual Property

Supamodel and its licensors own all right, title, and interest in the Services, including software, interfaces, branding, documentation, and all related intellectual property, except for your content and rights expressly granted to you under these Terms.

We may use feedback, suggestions, or ideas you provide without restriction or compensation to you.

12. Third-Party Services

The Services may depend on or interoperate with third-party services, including Shopify, AI or model providers, storage providers, and infrastructure providers. We are not responsible for the acts, omissions, outages, or policy changes of those third parties.

13. Availability, Changes, and Beta Features

We do not guarantee uninterrupted availability of the Services.

We may:

  • modify or discontinue features,
  • set or change usage limits,
  • introduce or retire beta features,
  • perform maintenance that affects availability.

Beta, preview, or experimental features may be offered "as is" and may be changed or withdrawn at any time.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SUPAMODEL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, SUPAMODEL DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE,
  • OUTPUTS WILL BE ACCURATE, LAWFUL, NON-INFRINGING, OR FIT FOR YOUR PURPOSES,
  • THIRD-PARTY INTEGRATIONS OR PROVIDERS WILL REMAIN AVAILABLE OR COMPATIBLE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SUPAMODEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.
  • SUPAMODEL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
    • THE AMOUNTS YOU PAID TO SUPAMODEL FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
    • USD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

16. Indemnification

You will defend, indemnify, and hold harmless Supamodel and its affiliates, officers, directors, employees, contractors, and agents from and against third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your content,
  • your use of the Services,
  • your breach of these Terms,
  • your violation of law,
  • your infringement or misappropriation of third-party rights,
  • your commercial or public use of generated outputs.

17. Suspension and Termination

You may stop using the Services at any time and may uninstall the app through Shopify.

We may suspend or terminate your access immediately if:

  • you breach these Terms,
  • required fees are not paid,
  • your use creates legal, security, or operational risk,
  • Shopify disables the app relationship or required access,
  • we are required to do so by law.

Upon termination:

  • your right to use the Services ends,
  • we may delete or disable access to your content and account data after a reasonable retention period, subject to legal obligations and our Privacy Policy,
  • sections that by their nature should survive will survive.

18. Governing Law and Disputes

These Terms are governed by the laws of India, excluding its conflict-of-law rules.

The exclusive courts for disputes arising out of or relating to these Terms will be located in Thrissur, Kerala, India, unless applicable law requires otherwise.

19. Changes to These Terms

We may update these Terms from time to time.

  • If a change is minor, it may become effective when posted.
  • If a change materially affects your rights or obligations, we will use reasonable efforts to provide advance notice through the app, email, or website.

Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the updated Terms.
